Please read these Terms of Service ("Terms", "Terms of Service") carefully before using the Webify website or engaging our digital agency services.
1. Acceptance of Terms
By accessing or using our services, you agree to be bound by these Terms. If you disagree with any part of the terms, then you may not access the service.
2. Services Provided
Webify provides premium digital engineering, web development, UI/UX design, and digital transformation consulting. The specific scope, timeline, and deliverables for any project will be outlined in a separate, mutually agreed-upon Statement of Work (SOW) or Master Services Agreement (MSA).
3. Intellectual Property Rights
Upon full payment of all project fees, the client will retain ownership of the final deliverables as outlined in the specific SOW. Webify retains ownership of any pre-existing intellectual property, proprietary code libraries, or frameworks used to create the deliverables. We reserve the right to display the completed work in our portfolio and marketing materials unless a strict NDA is signed prior to project commencement.
4. Client Responsibilities
The success of our engineering projects relies heavily on client collaboration. You agree to provide timely feedback, necessary access credentials, and content required for the execution of the project. Delays in client feedback may result in extended project timelines and additional fees.
5. Payment Terms
Payment terms, including upfront deposits and milestone payments, will be clearly defined in your SOW. Failure to remit payment within the agreed timeframe may result in a suspension of services or withholding of deliverables.
6. Limitation of Liability
In no event shall Webify, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Service.
7. Confidentiality
Both parties agree to keep all proprietary information, trade secrets, and operational data shared during the course of the engagement strictly confidential.
8. Governing Law
These Terms shall be governed and construed in accordance with the laws of the jurisdiction in which Webify primarily operates, without regard to its conflict of law provisions.
